| Completion Balance |
The sum detailed as payable on Completion on the Reservation Notice. |
| Completion Date |
The date on which Completion shall take place, which date shall be the date inserted in the Agreement of Purchase & Sale immediately prior to exchange in accordance with these terms and conditions. |
| Agreement of Purchase & Sale |
The agreement made between the Vendor and the Purchaser for the purchase from the Vendor of the Plot. |
| Deposit |
$5,000.00 for a Reservation & Deposit made within the UK or 30% of the Purchase Price for a Reservation & Deposit made outside the UK to be paid within 14 days which sum will be held by Oasis until unconditional exchange of the Agreement of Purchase & Sale or assignment has taken place. |
| Oasis |
Oasis Land Development Ltd, Company Registration Number 06629328 whose registered office is 28-30 Hall Street, Southport, Merseyside, England PR9 0SE have been appointed as the exclusive sales and marketing company on behalf of the Vendor and authorised for the collection of all payments due in relation to the Plot. |
| Payment Plan |
Quarterly payments of the Completion Balance as detailed on the Reservation Notice. |
| Plot |
The plot of land sold by a Vendor and bought by the Purchaser and detailed on the Reservation Notice. |
| Purchase Price |
The price payable for the Plot as named on the Reservation Notice. |
| Purchaser |
The Purchaser(s) of the Plot detailed on the Reservation Notice. |
| Reservation Fee |
$500.00 for a Reservation made within the UK or 5% of the purchase price for a Reservation made outside the UK. The Reservation Fee is non-refundable but is credited against the Deposit. |
| Reservation Notice |
The Reservation Notice to be submitted by the Purchaser. |
| Vendor |

I/we understand that this is a binding agreement and that by submitting I am/we are accepting these terms and conditions:

| 1. |
The Reservation Fee for the Plot is payable immediately upon submitting the Reservation Notice and reservation is secured only when the Reservation Fee has been cleared by Oasis. |
| 2. |
Payment of the Reservation Fee removes the Plot from the market for 14 days from the sending of the Reservation Notice subject to payment of the Deposit. If the Deposit does not clear upon first presentation by Oasis the Plot will immediately be placed back on the market for open sale and the Reservation Fee forfeited. |

If the Deposit is not paid within the 14 days allowed by these terms and conditions the Plot will be placed back on the market for open sale and the Reservation Fee forfeited. |
| 4. |
At the time of payment of the Deposit each Purchaser must provide Oasis with a certified copy of his/her passport and a current utility bill no more than 3 months in age to enable Oasis to comply with current UK money laundering regulations. For Corporate Purchases a copy of the Company Registration Certificate and a certified copy of the Passport of the Company Director who is completing the purchase, must be provided to Oasis. |

The Deposit must be cleared prior to unconditional exchange of the Agreement of Purchase & Sale. |
| 6. |
After clearance of the Deposit Oasis will send to the Purchaser one copy of the Agreement of Purchase & Sale. Each Purchaser must sign the copy of the Agreement of Purchase & Sale and return to Oasis at the address detailed on the Reservation Notice. |
| 7. |
The copy of the Agreement of Purchase & Sale signed by the Purchaser will be sent by Oasis by courier or electronically to Lawyers acting on behalf of the Vendor in the Cayman Islands. Each copy of the Agreement of Purchase & Sale will be countersigned on behalf of the Vendor and one signed copy returned to the Purchaser. |

On or before the Completion Date the Purchaser must have made payment of the entire Completion Balance in cleared funds. Upon Completion the Lawyers acting for the Vendor in the Cayman Islands will submit the transfer relating to the Plot to the local Land Registry to register the Purchaser as the freehold owner of the Plot. |

The Payment Plan represents an option available to the Purchaser to pay the Completion Balance to Oasis by equal quarterly payments over the agreed interest free period on the date shown upon the schedule attached to the Agreement of Purchase & Sale. |
| 10. |
The Vendor offer plots of land for sale and are not investment advisers or brokers and do not provide financial advice. The Vendor offer no advice as to current or predicted land values and do not provide land management services. |
| 11. |
The value of land can fall as well as rise. The Vendor recommends each Purchaser to seek suitable advice from a qualified professional. The Vendor further recommend that every Purchaser seek independent legal advice about their Plot purchase. |
| 12. |
Individual Plot sizes are approximate and are offered by the Vendor in good faith but total accuracy is not guaranteed. Every Purchaser should seek appropriate advice from a suitably qualified professional prior to submitting the Reservation Notice. |
| 13. |
The Agreement of Purchase & Sale shall be governed by and construed in accordance with the laws of the Cayman Islands and the parties hereto submit to the exclusive jurisdiction of the Courts of the Cayman Islands. |
| 14. |
The Purchaser covenants and warrants to the Vendor that all monies paid under this Agreement have been derived from legitimate business enterprises and expressly consents to any information relating to the Purchaser and any funds paid by the Purchaser being released to any law enforcement authorities upon a lawful request being made to the Vendor for such information. |
